Applying For Credit Account
1.1 These terms apply to all credit accounts and goods provided on credit by Workplacestuff T/A Peter Evans Storage Systems Limited (“Workplacestuff,” “we,” or “us”) to you, the credit account holder (“you”). These terms complement the general terms for the sale of goods by Workplacestuff, which are available on our website at www.workplacestuff.co.uk.
1.2 Unless we have explicitly agreed to open a credit account for you, full payment is required in advance for all orders. Credit accounts and the provision of goods on credit are at our sole discretion and remain subject to ongoing approval. We retain the right to deny credit, even to existing credit customers, at any time.
1.3 Our agreement with you is not governed by the Consumer Credit Act. We offer credit exclusively to businesses, professional entities, not-for-profit organizations, and public sector clients. We do not extend credit to individual consumers. By requesting a credit account, you acknowledge that you are not acting as a consumer in this transaction.
Required Information and Credit Assessments
2.1 To establish a credit account, you must submit the necessary details as per our credit application form.
2.2 We reserve the right to conduct a credit check on you and any personal guarantors prior to approving your credit account. We may also refresh these checks periodically.
2.3 You confirm that all information provided in your credit account application is accurate, complete, and not misleading.
2.4 Upon opening your credit account, we will notify you of your credit limit. We reserve the right to modify this limit at our discretion and to close your credit account at any time, for any reason.
Invoice Payment
3.1 All outstanding balances are due for payment within 30 days from the date of the issued invoiced. If payment is not received within the credit period, we will immediately suspend your credit account and seek recovery of the overdue amount.
3.2 We will charge interest on any overdue amounts at a rate of 8% above the Bank of England’s base rate.
Risk and Ownership
4.1 As a credit account customer, you acknowledge that:
4.1.1 Risk of loss or damage to the goods transfers to you when the goods are dispatched for delivery, even if we arrange the delivery.
4.1.2 Ownership of the goods remains with us until full payment (in cleared funds) has been received for the goods and any other goods for which payment is due.
4.1.3 Until ownership passes to you, you must hold the goods as our fiduciary agent and bailee. You agree to store and protect the goods separately from other items, ensuring they are insured and identifiable as our property. You may resell or use the goods in the ordinary course of your business but must remit the proceeds to us, keeping them separate from other assets.
4.1.4 Until the ownership passes to you, we retain the right to reclaim the goods if necessary. If you fail to return the goods promptly when requested, we may enter your premises to retrieve them, including dismantling them if required, and without being liable for any damage caused in doing so.
4.1.5 You may not pledge or secure any debt with goods that remain our property. Should you do so, all amounts owed to us will become immediately due.
4.1.6 Upon request, you must assign to us any legal rights you hold against third parties concerning unpaid amounts for the goods.
